1. What TheAngel is

TheAngel is portfolio software for angel investors, built and run by The Angel App Ltd, a company registered in England and Wales (company number 09809528). TheAngel lets you keep a private register of the positions you hold, record marks and valuations, and request update information from founders. TheAngel is not an investment platform: we do not arrange, advise on or hold investments, we do not offer deals, and we are not a party to any investment you record. TheAngel is not authorised or regulated by the Financial Conduct Authority.

2. Acceptance of these terms

By creating an account or otherwise using theangel.app (the "Service"), you agree to these terms and to our Privacy Policy. If you do not agree, do not use the Service. We may update these terms from time to time; we will change the "Effective" date above when we do, and continued use after a change means you accept the revised terms.

3. Your account

You sign in with a one-time link sent to your email address; there is no password. You are responsible for keeping access to that email address secure, and for everything that happens under your account. Tell us at hello@theangel.app if you believe your account has been accessed without your permission. You must be at least 18 to use the Service.

4. Not investment, tax or legal advice

Nothing on the Service is a recommendation to buy, hold or sell anything, and TheAngel does not provide investment advice. Marks, valuations, returns (DPI, TVPI, XIRR) and any other figures are calculated from the data you enter and are only as accurate as that data; a mark you set yourself is your own estimate, not a verified valuation. TheAngel tracks SEIS and EIS dates, including the three-year date, and the scheme relief rate, but it does not calculate your gains or losses and does not give tax advice. Export your data and speak to a qualified adviser for financial, tax or legal decisions.

5. Data you add

You are responsible for the accuracy of the positions, marks, documents, notes and other information you add to your portfolio. We do not verify it against any company, founder, valuation firm or public record before showing it back to you. Where TheAngel reads a document or a forwarded email you add to pull out terms automatically, you are responsible for making sure you are entitled to share that content with us. 6. Founder update requests

You can send a founder a request for an update on a company. The founder sees only your name and the request you sent, never your other holdings or marks; they answer a short form with no account needed, and their answer is shown on that company's page in your portfolio. We do not verify a founder's identity or the accuracy of their answer beyond the checks described on our Security page, and we are not a party to, and take no responsibility for, the underlying investment or relationship between you and the founder.

7. Plans and billing

Free gives you up to 10 positions, for as long as you like, with no card required. Pro removes the position limit. Full current prices are on our Pricing page. Members who sign up for Pro before 31 January 2027 get it free until 31 March 2027, then at the founding price shown on that page for as long as they stay subscribed.

You can cancel Pro at any time from Settings; it stays active until the end of the period you have already paid for. Moving from Pro to Free never deletes anything: positions above 10 become read-only, and your full portfolio stays exportable at any time, on every plan. Billing is not yet live on the Service; this section describes the plans as sold today and will be updated when automated billing launches.

8. Acceptable use

Use the Service only for lawful purposes and in line with these terms. You must not: attempt to access another user's portfolio or account; use founder update requests to harass, mislead or misrepresent yourself to a founder; scrape, reverse-engineer or overload the Service; or interfere with its security. We may suspend or terminate access for a breach of this section.

10. Intellectual property

The Service's software, design, branding and content are owned by The Angel App Ltd or our licensors. You keep ownership of the data you add. You may not copy, modify or exploit the Service itself beyond what is needed to use it as intended.

11. Disclaimers and limitation of liability

The Service is provided "as is". We do not warrant that it will be uninterrupted or error-free, or that figures calculated from your own data, or from a founder's answer to an update request, are accurate or complete. To the fullest extent permitted by law, The Angel App Ltdis not liable for indirect, incidental or consequential loss arising from use of the Service or from any investment decision made using it.

Nothing in these terms excludes or limits liability for fraud, for death or personal injury caused by negligence, or for anything else that cannot lawfully be excluded or limited.

12. Ending your use of the Service

You can delete your portfolio and every file you uploaded, from Settings, at any time; this is permanent. We may suspend or terminate your account for a serious or repeated breach of these terms, or where we are required to by law.

13. Governing law

These terms are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction over any dispute arising from them, except that if you live elsewhere, mandatory consumer-protection law in your own country may still apply and may give you the right to bring a claim in your local courts.
